Contracts

The Customer Purchase Agreements and Master Services Agreement set forth the terms and conditions governing the purchase of Spectra products and the provision of services by Spectra. Previously executed purchase and support agreements setting forth terms of purchase and/or services from Spectra by end user purchasers (“Customer”)  in effect at the time of purchase will take precedence over these Terms and Conditions. Otherwise, Spectra’s assent to any agreement between Spectra and Customer for any sale of products or services in connection with a Spectra Sales Quote (“Quote”) is expressly conditioned on Customer’s assent to those terms and conditions. Customer’s assent will be conclusively presumed if Customer responds by issuance of a purchasing document. Any different, conflicting, or additional terms in Customer’s purchasing document are objected to and deemed rejected unless expressly approved by an executive officer of Spectra and Customer in writing.

Foreign Corrupt Practices

The purpose of this Foreign Corrupt Practices Policy (the “Policy”) is to help ensure compliance by Spectra with the Foreign Corrupt Practices Act of 1977, as amended (the “FCPA”) and the USA PATRIOT Act. The FCPA makes it illegal for U.S. citizens and companies, their officers, directors, employees and agents, and any stockholders acting on their behalf, to bribe foreign officials. The FCPA also requires U.S. companies to keep accurate and complete books and records and to maintain proper internal accounting controls. The USA PATRIOT Act requires companies to conduct reasonable due diligence to ensure that transactions do not facilitate money laundering or other illegal activity and to report certain cash or currency transactions.

All Spectra personnel are expected to conduct business legally and ethically. Improper gifts, payments or offerings of anything of value to foreign officials could jeopardize Spectra’s growth and reputation. The use of Spectra funds or assets for any unlawful, improper or unethical purpose is also prohibited. Specifically, it is Spectra Policy to comply fully with the FCPA and the USA PATRIOT Act.

This Policy extends to all of Spectra domestic and foreign operations, including operations conducted by any departments, subsidiaries, agents, consultants or other representatives, as well as the operations of any joint venture or other business enterprise outside the United States in which Spectra is a participant.
